equity incentive in Listed Companies-Take Suning e-buy as an example.AbstractBased on the current domestic market environment,this article discusses in depth the equity incentivebehavior of CEOs of listed companies.First of all,this article defines the definition of equity incentives,analyzes the mechanism and operation mode of equity incentives,and then elaborates on the current theoreticalachievements of equity incentives in academia,namely the main agency theory,the theory of separation of tworights and so on.Secondly,this article takes Suning Tesco as a case to introduce its development status and specificoperation plan of equity incentive behavior.After discussing its equity incentive process in detail,this articlesummarizes the characteristics of the equity incentive method adopted by enterprises and puts forward theadvantages and disadvantages of the method.Finally,based on the situation of Suning.com,this article summarizes the micro and macro considerationswhen adopting equity incentives,and proposes countermeasures against the current deficiencies of domesticequity incentives.At this stage,the adoption of equity incentive policies by domestic listed companies is stillsubject to external conditions such as laws and regulations,market environment,and economic situation.Compared with foreign countries,the implementation of equity incentive in China is still relatively short time,on the one hand,the comprehensive analysis of this paper is conducive to deepen the understanding of thebasic theory of equity incentive,broaden the design ideas of equity incentive scheme;On the other hand,underthe specific environment of our country,the research on the implementation and existing problems of theequity incentive system of listed companies is helpful for the listed companies to design the equity incentivescheme in accordance with their own characteristics and reasonably determine the index.In order to maximizethe effectiveness of human resources and optimize the corporate govemance structure.This paper first introduces the background and significance of equity incentive,and expounds the mainresearch contents,research methods and possible innovations of this case.According to the relevant theories ofequity incentives and the actual operation of domestic listed companies'equity incentive behaviors,this articleanalyzes the shortcomings of listed companies in selecting equity incentives,and puts forward specific pointsfor attention,and finally uses Suning.com in equity incentives for example.Finally,this paper summarizes theinstitutional environment and improvement methods faced by listed companies in China to implement equityincentive model,and puts forward the shortcomings of this paper.Key words:Equity Incentive,Suning e-buy,Listed Company
