本科论文AbstractAs one of the pillar industries of China's national economy,the real estate industry has afar-reaching impact on the national economy.The purpose of this study is to provide practicalreference and experience for the follow-up mergers and acquisitions of real estate enterprises,soas to better adapt to the increasingly active real estate mergers and acquisitions market,give fullplay to the synergies of mergers and acquisitions,improve business performance and enhancecompetitiveness in the industry.At the same time,policy makers and regulatory departmentsshould also strengthen the legal construction of mergers and acquisitions,regulate the mergersand acquisitions of real estate companies,strengthen the supervision of the mergers andacquisitions market,and ensure the sustainability and effectiveness of the capital market.Inaddition,in this article,through combing the enterprise mergers and acquisitions motivation andm&a risk and risk prevention and other related documents can be found that the westerncountries in mergers and acquisitions motivation and m&a risk related research has formed amature system,but our country develops basic is still in the exploratory stage,especially for riskprevention and control the lack of a strong point of view,and even fewer and specializes in realestate industry mergers and acquisitions.And the real estate industry and other industries have abig difference,it is easy to be affected by national policy regulation,timeliness is strong.Therefore,in view of the above deficiencies,this paper,in connection with the current situationof the real estate industry,explores its m&a motivation,risks and risk prevention and controlmeasures.In terms of research methods,this paper mainly adopts literature analysis and caseanalysis.First,on the basis of fully searching the domestic and foreign research data on mergersand acquisitions,this paper summarizes the current real estate mergers and acquisitions wave inChina behind the cause and risk and risk causes.Secondly,focusing on the case of sunac China'sacquisition of wanda cultural tourism project,this paper analyzes its m&a motivation,the impactof m&a,the risks encountered in m&a and the causes of risks,and finally puts forward relevantcountermeasures for the reference of the industry to promote the sound development of China'sreal estate market.Key words:sunac China;Mergers and acquisitions.Wanda text brigade
